All reports, publications, datasets, charts, graphics, tables, analyses, methodologies, text, and other content made available through the IIE Bookstore (collectively, the “Materials”) are owned by IIE or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws. The purchase of a report grants the purchaser a limited, non-exclusive, non-transferable, revocable license to access and use the Materials solely in accordance with these Terms. No ownership rights are transferred to the purchaser.
Permitted Uses
Subject to these Terms, you may: download, store, and access the Materials for your own internal business, educational, research, or personal use; print reasonable portions of the Materials for internal reference; cite data, statistics, charts, and findings from the Materials in academic, governmental, nonprofit, or business publications, provided that IIE and the applicable publication are clearly attributed as the source; and share limited excerpts of the Materials for purposes of commentary, criticism, news reporting, teaching, scholarship, or research to the extent permitted by applicable copyright law.
Prohibited Uses
Except as expressly permitted above, you may not copy, reproduce, distribute, republish, transmit, display, post, sell, license, sublicense, rent, lease, or otherwise make the Materials available to any third party; upload the Materials to any publicly accessible website, repository, learning management system, intranet, shared drive, or platform where unauthorized users may access them; create derivative works based on substantial portions of the Materials; remove proprietary notices; use the Materials to develop competing products or services; scrape or harvest data through automated means; or use or permit any third party to use, the Materials or any portion thereof to train, fine-tune, test, benchmark, validate, develop, improve, or otherwise support any artificial intelligence, machine learning model, large language model, algorithmic system, or similar automated technology without IIE’s prior written consent.
Institutional Purchases
If you acquire the Materials on behalf of an institution, organization, library, governmental entity, or other legal entity, access to the Materials is limited to you, the individual purchaser, or authorized users within that entity, as specified at the time of purchase or in any applicable purchase agreement. Unless expressly authorized by IIE in writing, an institutional purchase does not permit unrestricted enterprise-wide access, external redistribution, interlibrary distribution, or sharing outside the authorized user group.
Attribution
When citing, quoting, referencing, or otherwise using data, statistics, charts, tables, graphics, findings, or excerpts from the Materials, you must provide clear and reasonable attribution to IIE and the applicable publication. Reservation of Rights
All rights not expressly granted herein are reserved by IIE. No license shall be implied by estoppel or otherwise.
Data Extraction and Redistribution
You may use individual data points and limited extracts from the Materials for research, reporting, and analysis, provided that appropriate attribution is given to IIE. However, you may not reproduce, republish, redistribute, or create substitute databases consisting of all or a substantial portion of the data contained in the Materials.
Disclaimer of Warranties
The Materials are provided on an "as is" and "as available" basis. While IIE endeavors to provide accurate and reliable information, IIE makes no representations or warranties of any kind, express or implied, regarding the Materials, including any warranties of accuracy, completeness, reliability, merchantability, fitness for a particular purpose, non-infringement, or that the Materials will be free from errors or omissions. To the fullest extent permitted by law, IIE, its affiliates, officers, directors, employees, agents, licensors, and research partners shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, loss of business opportunities, loss of data, or business interruption, arising out of or relating to the purchase, use, inability to use, or reliance upon the Materials, even if advised of the possibility of such damages.
In no event shall IIE's aggregate liability arising out of or relating to the Materials exceed the amount you paid for the applicable publication that gave rise to the claim.
Governing Law and Dispute Resolution
These Terms and any dispute arising out of or relating to the Materials shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law rules.
Any action, proceeding, or claim arising out of or relating to these Terms or the Materials shall be brought exclusively in the state or federal courts located in New York County, New York. The parties irrevocably submit to the exclusive jurisdiction of such courts and waive any objection based upon improper venue or forum non conveniens.
Nothing in these Terms shall limit IIE's right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights, confidential information, or proprietary materials.
To the fullest extent permitted by applicable law, you agree that any claim, dispute, or controversy arising out of or relating to these Terms, the Materials provided hereunder, or any transaction between you and IIE (collectively, "Claims") shall be brought solely in your individual capacity. You irrevocably waive any right to commence, join, participate in, recover through, or receive relief from any class, collective, consolidated, representative, private attorney general, or similar proceeding against IIE.
No court, arbitrator, or other adjudicative body shall have authority to hear, adjudicate, or award relief on a class, collective, consolidated, or representative basis, or to award relief to any person or entity other than you with respect to your individual Claim.
Monitoring and Enforcement
IIE reserves the right to investigate suspected violations of these Terms and to suspend or terminate access to Materials where misuse is detected. Requests for Additional Permissions
Any use of the Materials not expressly permitted by these Terms, including republication of substantial portions, commercial redistribution, translation, creation of derivative products, data licensing, or AI training uses, requires IIE’s prior written permission.
Severability
If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
Modification of these Terms
You are responsible for reviewing these Terms regularly. Modifications apply prospectively and do not alter rights and obligations arising from purchases completed before the effective date of the modification unless required by law. IIE reserves the right, at any time, without notice, and in its sole discretion, to modify or discontinue the Materials, these Terms, or any of IIE’s policies related to use of the Materials.
